The organisation shall be known as the "NextStep Social & Public Health Research Society" (NSPHRS). It is a non-government, non-profit, non-political, voluntary research and development organisation, registered under The Societies Registration Act, 1860 (Act No. 21 of 1860) of Bangladesh.
The registered head office of the Society is located at 27/16/7, Moulovirtek, West Nandipara, Khilgaon, Dhaka-1219, Bangladesh. The Society may establish branch offices elsewhere as approved by the Executive Committee.
The Society shall conduct its activities throughout all regions of Bangladesh, with the scope to extend its operations internationally subject to obtaining the necessary legal permissions and approvals.
The Society is established to conduct evidence-based research across public health, education, environment, gender justice, food security, and social development — and to disseminate findings that inform policy and improve lives.

The Society is governed by an Executive Committee responsible for its management, policy direction, and financial oversight. The committee comprises the following offices:
The funds of the Society shall be raised through membership fees, donations, grants, and lawful contributions from individuals and institutions at home and abroad. All funds shall be deposited in a bank account in the name of the Society and applied solely toward its stated objectives. Annual accounts shall be audited and presented to the General Assembly.
Any amendment to this constitution requires the approval of a two-thirds majority of members present at a General Assembly meeting convened for that purpose, in accordance with the provisions of The Societies Registration Act, 1860.
